These Terms and Conditions ("Terms") govern your access to and use of the Pipefast platform and website at pipefast.io (the "Service"), operated by PWR BRANDS LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Pipefast is an AI-powered data engineering platform that allows users to connect data sources, describe desired data outputs in natural language, and have AI agents automatically build, run, monitor, and maintain data pipelines. The Service includes pipeline creation, scheduling, monitoring, alerting, and self-healing capabilities.

You retain all ownership rights to the data you process through the Service ("Your Data"). By using the Service, you grant us a limited license to access, process, and store Your Data solely for the purpose of providing and improving the Service. We will not access Your Data for any other purpose without your explicit consent.

You are responsible for ensuring that you have the right to process any data you connect to or upload to the Service, including compliance with all applicable data protection laws and third-party agreements.

7. Data Source Credentials

When you connect third-party data sources, you provide us with credentials (API keys, tokens, database passwords) to access those sources on your behalf. You represent that you have the authority to grant this access. We store credentials using industry-standard encryption and use them solely to operate your pipelines. You can revoke access at any time by disconnecting a source or deleting your account.

8. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Fees are billed in advance on a monthly or annual basis, depending on your selected plan.

9. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods. If you cancel, your pipelines will stop running at the end of the billing period, but you may export your pipeline configurations before that date.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

11. AI-Generated Output

The Service uses artificial intelligence to generate pipeline code, transformations, and configurations. While we strive for accuracy and reliability, AI-generated outputs may contain errors or produce unexpected results. You are responsible for reviewing and validating pipeline outputs, especially for business-critical applications. We do not guarantee that AI-generated pipelines will be error-free or produce specific results.

12. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by PWR BRANDS LLC and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Pipeline configurations and transformation code generated by the Service for your specific use case are yours to use. However, the underlying platform technology, AI models, and general-purpose components remain our property.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PWR BRANDS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15. Indemnification

You agree to indemnify and hold harmless PWR BRANDS LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, limitation of liability, and indemnification) shall survive.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

19. Dispute Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@pipefast.io. If the dispute is not resolved within 30 days, either party may proceed with formal legal action as described in the Governing Law section.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PWR BRANDS LLC regarding the Service and supersede all prior agreements and understandings.
